BYLAWS and Constitution of the
TERRA NOVA TRAILRIDERS (2005) INC.
SECTION 1: NAME:
The name of this organization shall be Terra Nova Trailriders (2005) Inc. This shall be the full and legal title, although reference may be made to it as Terra Nova Trailriders, or simply, the club. Any reference to the former club is referring to The Glovertown Trail Riders Association, GTRAclub.
SECTION 2: PURPOSE:

2:2 Mandates:
A: To provide a year round multiuse access in the form of a trail from the Town of Glovertown to the Trailway for the use of both vehicular and non vehicular traffic.
B: To ensure the interest of "all" members is put forward as a united voice, with special emphasis on a responsibility to educate our members, and the public at large, to respect and protect wildlife and their habitats, and to practice safe snowmobiling and ATVing.
C: To work with local groups, business, municipal and other government as well as Provincial and National Organizations to provide services to the public. To support existing organizations in their efforts to develop new trails as well as maintain existing trails.
D: To distribute Trail Passes to the Snowmobiling Public to support the Mandatory Trail Passes as well as provide revenue for operation of the club. Responsibility for Grooming and Maintaining the Trailway from Grants Pit to the Terra Nova Trestle or as outlined by the
E: Items outlined in more detail in section 9: REGIONS AND EXISTING PROJECTS & EXEMPTIONS.
SECTION 3: MEMBERSHIP:
3:1 Membership: Membership is automatic to anyone who purchases a

3:4 Revoking Membership: Membership may be revoked for due cause by a majority vote of the members in attendance at a monthly meeting.
SECTION 4: EXECUTIVE OFFICERS:
4:1 Governing Body: The members of this organization are the governing body. They, in turn, shall elect Executive Officers from the general membership to direct all affairs of the Terra Nova Trailriders.
4:2 The Executive Officers are: President, Vice-President, Secretary, Treasurer, up to 2 directors from the Peninsula Snow Drifters, being President and Vice President and 4 directors from Glovertown and area.
4:3 Term of Office: The term of Office for each Executive Officer shall begin immediately upon the completion of the election process, and shall continue until his/her successor is duly elected. The Executive Officers shall hold office for a two (2) year term. To avoid a total changeover of Executive Officers, so that continuity of the club's operations may be maintained, one half of the Executive will be alternately replaced each year, commencing in 2006, at the Annual General Meeting, by membership vote. The Executive Positions, to be vacated, shall be decided by the Executive Officers before the First Annual General Meeting.
4:4 Vacated Position: In case of death, resignation, or inability to fulfill one's executive duties, and upon the vacation of that position, the membership shall elect another member to fill that vacancy for the remainder of the official term, at the earliest upcoming monthly membership meeting.
4:5 President: The President, or in his/her absence, the Vice-President, shall preside at all general club meetings and all Executive meetings. The President shall be the recognized head of the club and shall help with the appointment of all necessary committees and all committee chairpersons. .
4:6 Vice-President: The Vice-President shall perform the duties of the President, in the absence of the President. The Vice-President shall also assist the President at Executive meetings, other meetings, and club functions.
4:7 Secretary: The Secretary shall maintain accurate written records of all meetings of the club; carry on the club's correspondence; sit up meeting sites; and initiate notifying the membership of club activities. These duties may be shared by other club members when the work load warrants.
4:8 Treasurer: The Treasurer shall be one of the signing officers to all Bank Accounts, Cheques, drafts and other orders and for the payment of all moneys on behalf of the club. The Treasurer shall keep records of all monies received by the club. He/She shall promptly deposit all monies received into the club's bank account, not only as a matter of record, but for security reasons, as well. He/She shall give detailed reports about monies collected, expended, or invested, at monthly and annual meetings, as required by the Executive Officers.
4:9 Directors: The Directors shall advise and assist the President, Vice-President, Secretary, and Treasurer in carrying out the duties assigned and entrusted to them by the membership of the Terra Nova Trail Riders. The Directors shall be responsible for chairing the various club committees, recruiting members to work on these committees, and giving monthly and annual reports on the committees' performances.
NLSF Director: the President and Vice President will represent the Club at the NLSF Meetings such as the AGM.
SECTION 5: ELECTIONS:
Note: Only MEMBERS who have Trail Passes, from the current as well as the previous year, shall be permitted to "run for or vote on" any office or position with this club.
5:1 Executive: The election of the Terra Nova Trailriders Executive Officers shall take place at the Annual General Meeting (AGM).
5:2 By Election: Refer to SECTION 4: Vacated Position:
5:3 Election Officials: A Chief Election Official shall be appointed by the President to run the election proceedings before the outgoing Executive Officers resign. Two (2) more Election Officials may be chosen by the Chief Election Official to assist in the election proceedings.
5:4 Voting by Election Officials: Election Officials may vote if they are members of the club.
5:5 Voting will consist of a secret ballot.
SECTION 6: MEETINGS:
6:1 Annual General Meeting: The Annual General Meeting (AGM) shall be held before the end of November. This is to aid in setting up as sales network for the coming season.
6:2 Membership Meetings: Membership Meetings will be held from time to time or as necessity dictates.
6:3 Other Meetings: Special Meetings and/or Executive Meetings may be called by the President or majority of the executive. Committee Meetings may be called by the Chair of that committee, or by the President.
6:4 Quorums: A Quorum of ten (10) club members shall be present in order to hold a meeting of the Membership. A Quorum for an Executive Meeting and a Committee Meeting constitutes a Simple Majority.
6:5 Agenda: All Meetings shall have an agenda which will be followed. If any member has business to include on the agenda written notice outlining the business will be given to the Executive Officers ten (10) days prior to the Meeting for inclusion.
SECTION 7: AMENDMENTS:
These Bylaws may be amended by majority vote at the Annual General Meeting (AGM) of the membership provided written notice of the proposed amendment has been given to the Executive Officers fifteen (15) days prior to the AGM.
SECTION 8: FEES:
Fee structure shall be determined by The Newfoundland and Labrador Snowmobile Federation and shall be collected for membership and Trail Passes. Groomer Operators who have logged in excess of Fifty Hours and who are shown to be qualified will be provided passes and membership at no charge, subject to approval of the Executive, other passes may be donated or issued by the executive with a majority vote.
SECTION 9: REGIONS AND EXISTING PROJECTS & EXEMPTIONS:
9:1 Regional Committees: Because the Club consists of members from several areas, regional committees associated with but separate from the Club may be setup to undertake local Construction. These groups would be responsible for working with their individual Town Councils to obtain funding to undertake local initiatives. This would be a requirement which would have to be met to obtain Director Status for the area.
9:2 Existing Projects: If the Peninsula Snow Drifters has existing plans for or construction projects they will continue with their project development. In the case of the Glovertown Area, where construction is ongoing, the relationship between the Glovertown Town Council and former club would continue under the renamed Terra Nova Trailriders. This relationship reflects the ongoing long term undertaking to provide a twelve month access to the town from the Trailway and the integration of local trails into the Glovertown Parks and Recreation as outlined at a meeting of the group with the Town of Glovertown in 2004.
9:3 Cabin Owners: Since 2003 the former club has been working with local cabin owners in the Maccles Area as well as the North West Arm Area. The cabin owners have worked with the association in the past and will in the future to widen and upgrade their local trails at the local cabin owner’s expense. It is the desire for this to continue. If such an arrangement exist on the
